1. Acceptance of these Terms

FranchiseScope (the "Service") is operated by Toradigm Pty Ltd ("we", "us", "our"). These Terms of Service, together with our Privacy Policy, Editorial Policy and Disclaimers, form the agreement between you and us. By accessing, browsing or using the Service, you accept these Terms in full.

We may update these Terms from time to time. The "last updated" date above shows the current version. Continued use after a change means you accept the updated Terms.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms.

3. What the Service provides

FranchiseScope provides independent franchise information, data, tools and research for the Australian market, including directory listings, the Australian Franchise Fee Index, location reports, comparison tools and calculators, guides and a glossary.

The Service is an information and research resource. It does not sell franchises, does not act as your broker or agent, and does not participate in any transaction between you and a franchisor.

4. Information only, not professional advice

Content on the Service is general information only. It is not financial product advice, legal advice, taxation advice, or a recommendation to acquire or dispose of any franchise or business, and it does not take account of your objectives, financial situation or needs.

Before making any decision, you should read the franchisor's current disclosure document and franchise agreement, and obtain independent legal, financial and accounting advice from qualified Australian professionals. Franchising involves risk, including the risk of losing your investment.

5. Data accuracy and sources

We source data from public and franchisor-published records, including the ACCC Franchise Disclosure Register, the ABS and ASIC, and we date material figures. We take reasonable care, but we do not warrant that all information is accurate, complete or current, and figures change over time.

You must independently verify any figure, particularly fees, ranges, territory availability and network data, against the franchisor's current disclosure document before relying on it. See our methodology and editorial policy.

6. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in breach of these Terms;
• scrape, harvest, systematically extract or bulk-download content except as expressly permitted;
• resell, redistribute or commercially exploit our data or reports without a written licence;
• misrepresent your identity, submit false information, or interfere with the security or operation of the Service;
• use the Service to send spam or to collect others' personal information without consent.

7. Intellectual property

The Service, including its text, data compilations, the Fee Index, reports, design, software and branding, is owned by or licensed to Toradigm Pty Ltd and is protected by Australian and international intellectual property laws. You may view and print content for your own personal, non-commercial use, and may quote short extracts with clear attribution and a link. All other rights are reserved.

Third-party names, trade marks and logos (including franchisor brands) remain the property of their respective owners and are used for identification and reference only.

8. Franchisor listings and user submissions

Listing information may be compiled from public sources or supplied by franchisors. A franchisor who claims or subscribes to a profile is responsible for the accuracy of the information it supplies and warrants it has the right to provide it. If you submit content or an enquiry, you grant us a licence to use it to operate the Service, and you confirm it is accurate and not misleading.

9. Third-party links

The Service may link to third-party websites, including franchisor sites. We do not control and are not responsible for their content, products or practices. Links are not endorsements. Your dealings with any third party are solely between you and that third party.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including as to accuracy, completeness, fitness for a particular purpose, or uninterrupted availability. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data, goodwill or business opportunity, arising from your use of, or reliance on, the Service. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied. Your non-excludable rights under the Australian Consumer Law are unaffected.

12. Indemnity

You agree to indemnify us against any claims, losses or costs (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Service, or your infringement of any third party's rights.

13. Suspension and termination

We may suspend, restrict or terminate your access to the Service at any time if you breach these Terms or if we reasonably consider it necessary to protect the Service or other users. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnity) continue to apply.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
